Organizer Agreement
Effective Date: October, 2025
Between: Noctern (“Noctern,” “we,” “our,” or “us”) and the event organizer or venue (“Organizer,” “you,” or “your”).
1. Overview
This Organizer Agreement governs your use of the Noctern platform to create, manage, and sell tickets for events. By publishing or selling any event through Noctern, you agree to this Agreement and the Terms of Service.
2. Account & Responsibilities
- You must provide accurate contact, tax, and payment information.
- You are responsible for the accuracy of your event listings, pricing, age restrictions, and any required permits.
- You agree to operate in compliance with all local laws, including venue capacity, accessibility, and safety requirements.
- You will not list events that are fraudulent, unsafe, or violate another party’s rights.
3. Fees & Payouts
- Noctern may charge service fees per ticket or transaction, displayed before publication.
- Payouts occur after event completion unless otherwise agreed.
- You authorize Noctern or its payment processor to collect funds on your behalf and remit proceeds less applicable fees.
- You are responsible for all taxes associated with your sales.
4. Refunds & Cancellations
- You must clearly define your refund policy in each event listing.
- If you cancel or significantly change an event, you are responsible for refunding affected orders.
- Noctern may issue refunds directly to attendees and deduct those amounts from future payouts if necessary.
- Repeated cancellations or unresolved refund disputes may result in suspension.
5. Ticketing & Check-In
- Each ticket sold through Noctern includes a unique digital ID or QR code.
- You may not issue duplicate tickets outside the platform.
- At entry, you are responsible for verifying authenticity and following local admission rules.
- Noctern may provide optional check-in tools; you remain liable for entry decisions.
6. Marketing & Data
- You may use Noctern-provided analytics to understand ticket sales and engagement.
- You agree to use attendee data only for event-related communication and not for resale or unrelated marketing.
- Noctern may use aggregated, non-personal data for analytics and promotional purposes.
7. Compliance & Content Standards
- Event titles, descriptions, and images must be accurate and lawful.
- You may not upload or link content that is obscene, defamatory, or violates intellectual property rights.
- Noctern may remove events that violate these standards or applicable law.
8. Indemnification
You agree to defend and indemnify Noctern, its officers, and employees from claims, damages, or expenses arising out of:
- Your events or venues,
- Any false or misleading information you provide,
- Any breach of this Agreement or violation of law.
9. Limitation of Liability
Noctern’s liability is limited to the total service fees you paid for the event giving rise to the claim. Noctern is not liable for lost profits, indirect damages, or attendee behavior.
10. Termination
Either party may terminate this Agreement with notice. Termination does not affect events already sold; you remain responsible for delivering those events and processing refunds if needed.
11. Governing Law
This Agreement is governed by the laws of Minnesota, USA. Disputes will be resolved in the courts located in Ramsey, MN.
12. Entire Agreement
This document, along with the Terms of Service, represents the entire agreement between you and Noctern regarding event creation and ticket sales.
